1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the Show Me The Cause website and related services (collectively, the “Platform”), operated by SMTW Foods LLC (“Company,” “we,” “us,” or “our”).
Show Me The Cause is a product and brand of SMTW Foods LLC.
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you may not use the Platform.
If you are using the Platform on behalf of an Organization, you represent and warrant that you have the authority to bind that Organization to these Terms.
2. Description of Services
The Platform is an online product-based fundraising service that enables:
• Organizations to raise funds through product sales campaigns
• Customers to purchase products in support of Organizations
SMTW Foods LLC is the merchant of record for all product sales conducted through the Platform.
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without notice.
3. Eligibility
You must be at least 18 years of age to create and manage an account.
By using the Platform, you represent and warrant that:
• You have the legal capacity to enter into this agreement
• All information you provide is accurate and current
• Your use complies with all applicable laws
Participation by students or youth participants must occur under the supervision and control of an authorized adult affiliated with an Organization.
4. Account Registration and Security
To access certain features, you may be required to create an account.
You agree to:
• Provide accurate and complete information
• Maintain confidentiality of login credentials
• Notify us immediately of unauthorized use
You are responsible for all activity under your account.
SMTW Foods LLC may suspend or terminate accounts that violate these Terms or present risk to the Platform.
5. Fundraising Campaigns
Organizations agree that:
• Campaign descriptions are truthful and accurate
• Funds will be used for lawful purposes
• They comply with all applicable fundraising regulations
• They have authority to conduct the fundraiser
We reserve the right to:
• Request verification of identity, affiliation, or tax status
• Remove campaigns that violate our policies
• Delay, withhold, or cancel disbursement of funds in cases of fraud, chargebacks, disputes, or violations
SMTW Foods LLC is not responsible for how Organizations ultimately use funds raised.
6. Purchases and Payments
6.1 Pricing
All prices are listed in U.S. dollars unless otherwise stated.
6.2 Payment Processing
Payments are processed through third-party payment processors.
By completing a transaction, you agree to the processor’s applicable terms.
SMTW Foods LLC does not store full credit card numbers.
6.3 Order Acceptance
We reserve the right to refuse, cancel, or limit any order for any reason, including suspected fraud or pricing errors.
6.4 Refund Policy
All refund requests are subject to our official Refund Policy, which may be updated from time to time. Refunds are not guaranteed and may be denied in cases of misuse, policy violations, or completed fulfillment.
7. Chargebacks and Payment Disputes
If a Customer initiates a chargeback or payment dispute:
• We may temporarily withhold related fundraising proceeds
• We may deduct chargeback fees or losses from future disbursements
• We may suspend involved accounts pending investigation
Fraudulent or abusive chargebacks may result in account termination and potential legal action.
8. Prohibited Conduct
You agree not to:
• Use the Platform for unlawful purposes
• Engage in fraud, misrepresentation, or deceptive practices
• Impersonate individuals or organizations
• Attempt to manipulate fundraising totals, referral systems, or platform functionality
• Interfere with Platform security
• Upload harmful code, malware, or disruptive technologies
Violation may result in immediate suspension, termination, withholding of funds, and legal action.
9. Intellectual Property
All Platform content, including trademarks, logos, software, and design elements, is owned by SMTW Foods LLC and protected by intellectual property laws.
Organizations retain ownership of their submitted content but grant SMTW Foods LLC a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such content for operational, promotional, and marketing purposes related to the Platform.
10. Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis.
SMTW Foods LLC disclaims all warranties, express or implied, including:
• Merchantability
• Fitness for a particular purpose
• Non-infringement
We do not guarantee uninterrupted, secure, or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, SMTW Foods LLC shall not be liable for:
• Indirect, incidental, special, or consequential damages
• Loss of fundraising revenue
• Business interruption
• Third-party service failures
Our total liability shall not exceed the greater of:
• $100 or the total amount paid by you to the Platform in the preceding 12 months
12. Indemnification
You agree to indemnify, defend, and hold harmless SMTW Foods LLC, its officers, directors, employees, and affiliates from any claims, damages, liabilities, losses, and expenses arising out of:
• Your use of the Platform
• Your fundraising activities
• Your violation of these Terms
• Your violation of applicable laws
13. Termination
We may suspend or terminate access at our sole discretion for:
• Violation of these Terms
• Fraudulent activity
• Risk to Platform integrity or reputation
Termination does not eliminate outstanding financial or legal obligations.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles.
Any dispute shall be resolved exclusively in the state or federal courts located in St. Louis County, Missouri.
15. Changes to Terms
We may update these Terms at any time.
Changes become effective upon posting.
Continued use of the Platform constitutes acceptance of the revised Terms.
